RedOwl Pty Ltd - Website Terms of Use

1. Website Terms Of Use

These Website Terms of Use ("Terms") govern your access to and use of the website located at www.redowl.ai, its subdomains and any content, tools, calculators, blog, whitepapers, podcasts or other materials made available on or through it (together, the "Website"). The Website is operated by RedOwl Pty Ltd (ACN 676 456 321) of Level 1/678 Victoria Street, Richmond, Victoria 3121, Australia ("RedOwl", "we", "us" or "our"). By accessing or using the Website, you ("User") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Website. These Terms apply to anyone browsing the Website, using a free assessment tool, submitting an enquiry, or booking a demo. They do not require you to have a paid account or be a customer.

2. How These Terms Relate To Your Redowl Subscription

These Terms govern the public Website only. They do not govern your use of the RedOwl application platform (accessed at app.redowl.ai or successor domain) once you or your organisation have entered into an Order Form ("Platform"). If your organisation has a signed Order Form with RedOwl, use of the Platform is governed exclusively by RedOwl's Master Services Agreement (or an equivalent negotiated agreement) and the applicable Order Form, available at redowl.ai/utilities/legal (the "MSA"). If there is any inconsistency between these Terms and the MSA in respect of Platform use, the MSA prevails. Where you interact with the Website before becoming a customer, for example, by using a free assessment tool or requesting a demo, these Terms apply to that interaction, including in respect of any data you submit, until such time (if any) as an Order Form is executed.

3. Nature Of Redowl And Regulatory Status

3.1 Regulatory License. RedOwl provides software that helps finance teams automate accounts payable workflows, apply payment policy controls, detect anomalies and invoice fraud indicators, and maintain audit trails (the "Software"). RedOwl is a technology provider; it does not itself hold an Australian Financial Services Licence (AFSL) in its own right.

3.2 Financial Advice Disclaimer. Any financial product advice referenced on the Website, or generated through the Website's tools, is general advice only and does not take into account your objectives, financial situation or needs. You should consider the appropriateness of any such advice, having regard to your own circumstances, before acting on it. Nothing on the Website constitutes personal financial, legal, tax or accounting advice, and nothing on the Website constitutes an offer, invitation or recommendation to acquire any financial product.

4. Eligibility

4.1 Legal Capacity. You may use the Website only if you have the legal capacity to enter into a binding agreement, and, where you use the Website on behalf of an organisation, you have authority to bind that organisation to these Terms.

4.2 B2B Use. The Website is directed at businesses and is not intended for consumers seeking personal financial products. It is not directed at children, and no one under 18 may use the Website.

4.3 Sanctions & Export Control Laws. You represent and warrant that you are not, and are not acting on behalf of, a person or entity that is the target of sanctions administered or enforced by the Australian Department of Foreign Affairs and Trade, the United Nations Security Council, the United States Department of the Treasury's Office of Foreign Assets Control, the European Union, or any other applicable governmental authority, and that your use of the Website does not otherwise breach applicable sanctions or export control laws.

5. Website Content

5.1 Content Disclaimer. Content on the Website, including blog posts, whitepapers, benchmarking statistics, podcasts and webinars, is provided for general informational purposes only and does not constitute a representation, warranty or guarantee of results for any particular organisation.

5.2 Website Statistics. Statistics and performance figures referenced on the Website (for example, relating to processing time, error reduction or exception resolution) are illustrative or aggregated figures drawn from customer deployments and are not a guarantee of the results any particular business will achieve, which will depend on that business's own systems, data quality, and configuration.

6. Booking A Demo And Enquiries

If you submit an enquiry, book a demo, or otherwise provide contact details through the Website, you consent to RedOwl contacting you about the Software using those details, in accordance with RedOwl's Privacy Policy. Any commercial electronic message RedOwl sends to you will include a functional unsubscribe facility and accurate sender identification, in accordance with the Spam Act 2003 (Cth). Submitting an enquiry or attending a demo does not itself create a contractual relationship between you and RedOwl in respect of the Platform; that relationship arises only upon execution of an Order Form under the MSA.

7. Free Assessment Tools

7.1 Availability. RedOwl makes certain tools available on the Website free of charge for general demonstration and lead-generation purposes, including tools that estimate potential accounts payable leakage and tools that assess uploaded invoices for indicators of AI-generated or fraudulent content (each, a "Tool"). RedOwl may modify, suspend, or discontinue any Tool at any time without notice and without liability to the User.

7.2 No Service Level Commitment. Each Tool is provided for general, indicative and illustrative purposes only. Outputs from a Tool (including any leakage estimate, risk score, or suspiciousness score) are generated from limited inputs and simplified assumptions, are not audited, and must not be relied upon as a substitute for professional advice, a formal audit, or the full functionality of the licensed Platform.

7.3 Upload Restrictions. You must not upload to a Tool any document or data that: (a) you are not authorised to disclose; (b) contains another person's Personal Information without an appropriate basis for disclosure under the Privacy Act 1988 (Cth) or any other applicable privacy laws or regulations; or (c) is unlawful, infringing, or contains malicious code.

7.4 Output Accuracy. The Tools utilise artificial intelligence and benchmark-based models. Any output, estimate, score, report, or recommendation generated by a Tool (collectively, "Output") is for general informational purposes only and may be inaccurate, incomplete, or unsuitable for the User's specific circumstances. RedOwl does not warrant that a Tool will correctly identify every instance of fraud, error, or anomaly, or that it will produce no false positives or false negatives. The User should at all times independently verify the reliability, accuracy and completeness of any Output before relying on it or using it for any purpose. RedOwl accepts no liability for decisions made in reliance on Tool Outputs without independent verification. Output does not constitute financial, legal, accounting, or professional advice.

7.5 Reverse Engineering. You must not use a Tool to test, benchmark, or attempt to reverse engineer RedOwl's fraud-detection or scoring methodology, or to systematically probe the Tool with a view to evading similar detection logic in RedOwl's licensed Platform.

7.6 Active Consent. Before you submit any document or data to a Tool, you will be asked to actively confirm that you have read and agree to these Terms and the AUP (for example, by ticking a checkbox), in addition to the general acceptance recorded in Section 1.

8. Data You Submit Through The Website

8.1 Privacy Policy. Where you submit documents or data through a Tool or an enquiry form ("Submitted Data"), RedOwl will handle that Submitted Data in accordance with its Privacy Policy at redowl.ai/privacy.

8.2 Use of Submitted Data. Submitted Data provided through a free Tool is used to generate the relevant output and for RedOwl's internal purposes of improving the Tool and the Software, on a de-identified or aggregated basis where reasonably practicable. Submitted Data provided through a Tool is not subject to the data-handling commitments that apply to Customer Data under an executed Order Form and MSA, which are more extensive. RedOwl will not publicly identify the User or attribute specific Submitted Data to the User without the User's prior consent. Submitted Data may be processed using third-party artificial intelligence or cloud infrastructure providers located outside Australia; where this occurs, it is an overseas disclosure of personal information for the purposes of Australian Privacy Principle 8, details of which are set out in RedOwl's Privacy Policy. RedOwl retains Submitted Data for no longer than 90 days after submission, after which it is automatically deleted or de-identified except where retention is required by law.

8.3 Sensitive Data. You should not submit commercially sensitive, unredacted customer financial data, or Personal Information belonging to third parties, through a free Tool. If your organisation wishes to evaluate the Software against real production data, contact RedOwl to arrange a governed proof-of-concept under an Order Form.

8.4 No Retention Obligation. RedOwl has no obligation to retain any Submitted Data and may delete it at any time without notice, subject to clause 8.2.

8.5 Inputs. Any information the User provides to a Tool, which may include invoices, financial documents, or other data ("Input"), is provided at the User's sole risk and constitutes Submitted Data for the purposes of this clause 8. The User is responsible for the accuracy and legality of all Inputs. RedOwl does not claim ownership of the User's Inputs.

9. Acceptable Use

9.1 Restrictions. You must not use the Website to: (a) attempt to gain unauthorised access to the Website, any Tool, the Platform, or related systems, or to another user's account or data; (b) probe, scan, or test the vulnerability of the Website or a Tool, or attempt to circumvent any security or rate-limiting control, without RedOwl's prior written permission; (c) upload or transmit malware, viruses, or other malicious code; (d) use automated means (scrapers, bots, crawlers) to extract data, content, or pricing from the Website, other than standard search-engine indexing; (e) submit false, misleading or fraudulent information, including in a demo request or Tool submission; (f) use the Website or a Tool to facilitate money laundering, terrorism financing, sanctions evasion, or any other financial crime; (g) use the Website to build, train, or benchmark a competing product, or to copy RedOwl's content, branding, or Tool methodology; (h) use the Tools for the benefit of any third party in a commercial capacity, including reselling, sublicensing, or distributing any Output; (i) modify, copy, or create derivative works of any Tool or any part, feature, function, or user interface thereof; (j) interfere with or degrade the availability or performance of the Website for other users; or (k) use the Website in breach of any applicable law, including the Corporations Act 2001 (Cth), the Australian Consumer Law, the Privacy Act 1988 (Cth), or the AML/CTF Act 2006 (Cth).

9.2 Acceptable Use Policy. Your use of the Website and the Tools is also subject to RedOwl's Acceptable Use Policy, available at https://redowl.ai/utilities/legal (as updated from time to time) (the "AUP"), which is incorporated into these Terms by reference.

9.3 Suspension. RedOwl may restrict, suspend, or block access to the Website or a Tool, without notice where reasonably necessary, where it reasonably suspects a breach of this clause 9, the AUP, or a security or legal risk.

9.4 Monitoring. RedOwl has no general obligation to monitor use of the Website. RedOwl may, however, use automated tools to detect patterns of suspected abuse and may investigate further where such patterns are identified. Based on the outcome of an investigation, RedOwl may restrict any use of the Website it reasonably believes breaches, or is alleged to breach, this clause 9 or the AUP.

10. Intellectual Property

10.1 Reservation of Rights. All intellectual property rights in the Website, the Tools, RedOwl's branding (including the RedOwl name and logo), and all content published on the Website belong to RedOwl or its licensors. No rights in the Tools are granted to the User other than the limited right of access expressly set forth in these Terms.

10.2 Permitted Use of Content. You may view and download Website content for your own internal, non-commercial reference purposes only. You must not reproduce, republish, distribute, or create derivative works from Website content for commercial purposes without RedOwl's prior written consent.

10.3 No Transfer. Nothing in these Terms transfers any intellectual property rights to you. Use of the licensed Software itself (as opposed to the Website) is governed by the MSA.

10.4 Feedback. If the User provides any suggestion, enhancement request, recommendation, correction or other feedback relating to the Tools or the Website ("Feedback"), the User grants RedOwl and its Affiliates a worldwide, perpetual, irrevocable, royalty-free licence to use, distribute, disclose, and make and incorporate such Feedback into RedOwl's products and services without restriction or obligation to the User.

11. Third-Party Services

11.1 The Website may link to, integrate with, or reference third-party websites, products, services or content that RedOwl does not provide ("Third-Party Services”). Your use of, or any data exchange in connection with, a Third-Party Service is solely between you and that third party and is governed by that third party's own terms and privacy notices, not these Terms.

11.2 RedOwl does not control and makes no representation, warranty or guarantee regarding the content, accuracy, security, availability, or conformity to any compliance requirement of a Third-Party Service, and linking to or referencing it does not imply endorsement. RedOwl's obligations under these Terms do not extend to Third-Party Services, and RedOwl is not responsible for any disclosure, modification, or loss of Submitted Data resulting from a Third-Party Service, or for any other loss arising out of or in connection with a Third-Party Service.

12. Disclaimers

12.1 To the maximum extent permitted by law, the Website and the Tools are provided on an "as is" and "as available" basis, without warranty of any kind, whether express, implied, statutory or otherwise, and RedOwl specifically disclaims all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

12.2 RedOwl does not warrant that the Website or a Tool will be uninterrupted, secure, timely, or error-free, or that Outputs will be accurate or complete.

13. Limitation Of Liability

13.1 Exclusion of Indirect Loss. To the maximum extent permitted by law and subject to clause 13.3, RedOwl is not liable for any indirect, special, incidental, consequential, cover, business interruption or punitive loss or damages, or any loss of profits, revenue, goodwill, data, or business opportunity, arising out of or in connection with your use of the Website, whether in contract, tort (including negligence), or otherwise, even if advised of the possibility of such loss.

13.2 Aggregate Cap. To the maximum extent permitted by law, RedOwl's aggregate liability arising out of or in connection with your use of the Website (as distinct from the Platform, which is governed by the MSA) is limited to AUD $100, except in respect of any consumer guarantee under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot be excluded, or a liability that cannot lawfully be limited.

13.3 Preserved Liabilities. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot lawfully be excluded or limited.

13.4 Reliance. RedOwl is not liable for any loss arising from your reliance on Tool Outputs, Website content, or general advice referenced on the Website, without independent verification, or from your breach of clause 9 (Acceptable Use) or the AUP.

14. Suspension And Termination Of Access

14.1 RedOwl may suspend or terminate your access to the Website or a Tool at any time, with or without notice, where you breach these Terms or the AUP, your use creates a security or legal risk, or RedOwl discontinues the Website or a Tool.

14.2 You may stop using the Website at any time. Clauses which by their nature are intended to survive (including clauses 10, 12, 13, 14, 15 and 17) continue to apply after your access ends.

15. Complaints, Governing Law And Disputes

15.1 If you have a complaint about the Website, you can contact RedOwl at legal@redowl.ai.

15.2 These Terms are governed by the laws of Victoria, Australia. You irrevocably submit to the non-exclusive jurisdiction of the courts of Victoria and courts entitled to hear appeals from those courts, except that RedOwl may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

16. Changes To These Terms

16.1 RedOwl may update these Terms from time to time by posting a revised version on the Website with an updated "Last updated" date. Material changes will, where practicable, be highlighted on the Website. Where a change is material and adverse to your rights, RedOwl will provide at least 30 days' prior notice via the Website or, where you have provided contact details, by email, before the change takes effect. Continued use of the Website after a revised version is posted constitutes acceptance of the revised Terms.

17. General

17.1 Entire Agreement. In respect of Website use, these Terms and any policies referenced in them (including the AUP and the Privacy Policy) constitute the entire agreement between you and RedOwl regarding the Website, and supersede prior discussions on that subject. They do not affect the terms of any separate MSA or Order Form governing the Platform.

17.2 Severability. If a provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.

17.3 No Waiver. A failure to enforce a provision of these Terms is not a waiver of the right to enforce it later.

17.4 Assignment. RedOwl may assign its rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of substantially all of its relevant assets, on reasonable notice where practicable.

17.5 No Third-Party Beneficiaries. Except as expressly stated, these Terms do not confer any right or benefit on a third party.

17.6 Relationship of the Parties. Nothing in these Terms creates a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between RedOwl and the User.
